The following information being provided via a PDF is a Pre-release of a book called “The One Rule Home”, written by Jeff Schadt. Copyright 2021 All Rights Reserved. The “Recipient” of this PDF is automatically enrolled in this non-disclosure agreement and agrees to its entirety.
This Book Development Non-Disclosure Agreement, known as the “Agreement” as used herein, was made the Month of October 2021 by and between Jeff Schadt, the “Releasor”, and the “Recipient” as noted in the email or file transfer, and are collectively known as, “the Parties” throughout the remainder of this agreement.
Releasor agrees to furnish the Pre-release of the book “The One Rule Home” and its confidential information for the purposes of assistance in the book’s development, Copyrights, Trademarks, licensing, and any other details about the Book that is unique in nature to the Releasor. The Pre-Release copy is being provided to the Recipient via email or large file transfer applications such as “Filemail” or equivalent.
This Agreement shall govern the conditions of disclosure by Releasor to Recipient of certain Confidential Information. “Confidential Information“, as used herein, means all information (including Pre-Released Chapters, Wording, Questions, Images, Designs, Templates, Titles, Drawings, Cover Art, Layout, Data, Research, Trade Secrets, and Intellectual Property) which:
The current Pre-Release of the book: “The One Rule Home” is a tangible product. The “One Rule Home” book in its pre-release form is confidential information. This information cannot be transferred, sold, sent to, photocopied, photographed, downloaded by anyone other than the recipient, disclosed to others including third parties, copied in whole or in part in any form without prior written permission by the Releasor Jeff Schadt. The term Confidential Information shall include the following:
Recipient hereby agrees: To hold confidential or proprietary information or trade secrets (“confidential information”) in trust and confidence and agrees that it shall be used only for the purpose of business product or idea development for Releasor and shall not be used for any other purpose, or disclosed to any third party;
to safeguard and exercise reasonable precautions against disclosure of the confidential information to others;
to not disclose confidential information to any employee, consultant or third party unless there I expressed written consent by the releasor ad they agree to execute and be bound by the terms of this Agreement; and
that the secrecy obligations of Recipient with respect to the information shall continue for a period ending Indefinitely from the date hereof.
II. Governing Laws. The laws of The State of Colorado shall govern this Agreement and its validity.
